Terms of Service

Entergram is a customer relationship management (CRM) platform designed to help users organize and manage Telegram-based workflows, including leads, conversations, support tickets, and related metadata. These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "your") and Entinel Technologies OÜ, a company registered in Estonia (reg. no. 17485993) with its legal address at Pärnu mnt. 139b - 14, Tallinn, 11317, Estonia, operating under the Entergram brand ("Entergram," "we," "us," or "our"). By accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Service.

1. Use of the Service

1.1 Eligibility. You must be at least 18 years old and legally capable of entering into binding agreements. By using the Service, you represent and warrant that you meet these requirements.

1.2 Account Connection and Security. The Service allows you to connect one or more Telegram accounts to enable CRM functionality. You are solely responsible for safeguarding your Telegram accounts, devices, authentication credentials, and access methods. Entergram does not verify or monitor the security of your Telegram accounts.

To provide the Service, Entergram may store encrypted Telegram session data and technical identifiers necessary to maintain connectivity. Entergram does not guarantee session persistence, uninterrupted access, or continued availability of any Telegram account.

1.3 User Responsibility. You are responsible for all activity conducted through your connected Telegram accounts, including compliance with Telegram’s terms of service, acceptable use policies, and applicable laws. Any consequences arising from your Telegram usage remain your sole responsibility.

1.4 Permitted Use. You may use the Service only for lawful purposes consistent with its intended functionality. Misuse, abuse, or use that violates applicable laws or third-party rights is prohibited.

2. Relationship with Telegram

Entergram is an independent third-party software tool and is not affiliated with, endorsed by, or sponsored by Telegram Messenger LLP or its affiliates. Telegram is a separate service governed by its own terms, policies, and technical systems.

Entergram does not control Telegram’s infrastructure, enforcement actions, availability, or security. Any suspension, restriction, limitation, or termination of your Telegram account is determined solely by Telegram and occurs independently of Entergram.

3. Features and Functionality

3.1 Multi-Account Management. The Service enables management of multiple Telegram accounts within a single interface.

3.2 Customization and Ticketing. You may create custom fields, tags, filters, and support tickets to organize workflows and communications.

3.3 Data Handling. You may export and delete stored metadata through available settings. Entergram does not guarantee the accuracy, completeness, or availability of third-party data.

4. Fees, Subscriptions, and Refunds

4.1 Plans and Fees. The Service is offered under free and paid subscription plans. The fees, included features, and billing cycle for each plan are described on our pricing page at the time of purchase. By selecting a paid plan, you agree to pay the applicable fees for that plan.

4.2 Billing and Payment. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) through our third-party payment processor, Stripe. You authorize Entergram and Stripe to charge your designated payment method for all applicable fees, and you are responsible for keeping your billing information accurate and current.

4.3 Automatic Renewal. Unless cancelled before the end of the current billing period, paid subscriptions renew automatically for successive periods of the same length, charged at the then-current rate for your plan.

4.4 Cancellation. You may cancel your subscription at any time through your account settings or by contacting hello@entergram.com. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial billing periods.

4.5 Price Changes. We may change our fees from time to time. We will give you reasonable advance notice of any increase, which will take effect from your next renewal. If you do not agree to a price change, you may cancel before it takes effect.

4.6 Taxes. Unless stated otherwise, fees are exclusive of applicable taxes (such as VAT). You are responsible for any taxes arising from your purchase, other than taxes based on Entergram's net income.

4.7 Consumer Right of Withdrawal. If you are a consumer in the European Union, you ordinarily have a 14-day right to withdraw from a distance contract. By subscribing and requesting that the Service begin immediately, you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once the Service has been fully performed, and that for the portion already delivered you waive the 14-day withdrawal period. This does not affect any mandatory statutory rights you may have.

4.8 Failed Payments. If a payment fails, is reversed, or is charged back, we may suspend or restrict access to paid features until all outstanding amounts are settled.

5. Privacy and Data Protection

5.1 Data Protection Roles. With respect to personal data relating to your own account and use of the Service (such as your login and billing details), Entergram acts as a data controller. With respect to personal data of third parties that you import, store, or process through the Service (such as your leads', contacts', or customers' metadata), you act as the data controller and Entergram acts as your data processor, processing such data only on your documented instructions and as necessary to provide the Service.

5.2 Data Processing Agreement. If you use the Service to process third-party personal data and require a Data Processing Agreement (DPA) under Article 28 of the GDPR, our standard DPA — including the current list of sub-processors — is available on request at hello@entergram.com and forms part of these Terms once accepted.

5.3 Session and Data Processing. Entergram stores encrypted session data and limited metadata solely to operate the Service. Message content remains governed by Telegram’s systems and encryption protocols.

5.4 Metadata Storage. Stored data may include usernames, identifiers, labels, and organizational metadata required for CRM features. You may request deletion of such data at any time.

5.5 Compliance. Entergram seeks to comply with applicable data protection laws, including GDPR. Requests related to personal data may be sent to hello@entergram.com. Additional details are described in our Privacy Policy.

6. Intellectual Property

6.1 Ownership. All rights, title, and interest in the Service, including software, interfaces, branding, and documentation, remain with Entergram or its licensors.

6.2 License. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal purposes.

6.3 User Content. You retain ownership of content you input into the Service and grant Entergram a limited license to process such content solely to operate and improve the Service.

7. Prohibited Conduct

You agree not to:

- Reverse engineer, decompile, or attempt to extract source code;

- Interfere with or disrupt the Service or its systems;

- Use the Service to violate Telegram’s terms or applicable laws;

- Engage in fraudulent, abusive, or harmful behavior.

8. Termination and Suspension

8.1 By You. You may stop using the Service at any time and delete your data through available settings.

8.2 By Us. We may suspend or terminate access if required by law, to protect the Service or users, or in response to misuse or violations of these Terms.

8.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers, Limitation of Liability, and Indemnification

9.1 Disclaimer of Warranties. The Service is provided on an 'AS IS' and 'AS AVAILABLE' basis, without warranties of any kind, whether express or implied.

9.2 Limitation of Liability. To the maximum extent permitted by law, Entergram shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of access, or business interruption. Entergram’s total liability for any claim shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

Without limiting the foregoing, Entergram shall not be liable for any unauthorized access to, compromise of, or misuse of Telegram accounts or sessions, including session theft, credential compromise, or security breaches, whether arising from user actions, third-party attacks, malware, device compromise, or other causes, except to the extent liability cannot be excluded under applicable law.

Entergram shall also not be liable for Telegram account suspensions, bans, enforcement actions, session invalidations, message restrictions, data loss, or service interruptions caused by Telegram or third-party systems.

9.3 Third-Party Platform Risk. You acknowledge that the Service interoperates with Telegram at your direction. You assume all risks associated with connecting, storing, and using Telegram accounts or sessions through the Service.

9.4 Indemnification. You agree to indemnify, defend, and hold harmless Entergram, including its founders, developers, and operators, from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict of law principles.

Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia. Nothing in this section limits any mandatory consumer-protection rights you may have under the law of your country of residence.

11. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in effect.

These Terms constitute the entire agreement between you and Entergram regarding the Service.

To the maximum extent permitted by law, no individual founder, developer, or operator of Entergram shall be personally liable for claims related to the Service.
